GENERAL TERMS AND CONDITIONS OF SALE

1) Virtual office

The virtual office address contract is concluded for a period of 3 months, renewed by tacit agreement.

Access to the premises made available to the Domiciled Party can only be made during the opening hours of Alac's offices.

The payment of the fee corresponding to the domiciliation service is invoiced quarterly.

2) Rates

The rates of this quotation are as follows:

  • Excluding tax with payment in one installment due for the creation and transfer of the company.
  • Excluding taxes with monthly payments in arrears for accounting purposes.
  • Excluding taxes with monthly payment in arrears for telephone permanence consumption.
  • Excluding taxes with quarterly payment due for the subscription to the telephone permanence.
  • Excluding taxes with quarterly payment due for direct debit

The rates specified in the quotation for mail forwarding are relative to the cost of the service. Postage will be charged at actual costs plus 20%.

3) Meeting room

The meeting room must be reserved in advance (minimum 8 days in advance) by Alac Etoile staff.
The meeting room hours included in the domiciliation offers are neither transferable from one month to the next nor refundable.
The meeting room provided with the domiciliation offers has a maximum capacity of 10 people at the central table.

4) Telephone answerring

The complementary option of telephone permanence is subject to a monthly flat rate billing for the service. Incoming calls are charged according to the number of additional calls.

5) Accounting

The additional accounting option is invoiced on a monthly flat rate basis.

Where to domicile a company?

Domiciliating a company (or an association) in France is a legal obligation provided by decree 85-1280 of 05/07/1985.
Several solutions are possible:

    • domiciliation at his personal home
      While this solution is financially attractive, it is not the best one. Apart from the fact that it can be limited in time (5 years maximum depending on where you live), it does not bring credibility to your business. Moreover, be aware that in case of control, this one will be made at the company’s domicile and thus at yours.

    • domiciliation within an approved domiciliation company
      It is the safest but also the most economical solution for any company that does not have premises.

What are the formalities to domicile a company?

To establish your domiciliation contract, you will need to provide the following documents:

  • Name, form, capital, corporate purpose of the company to be domiciled.
  • Surname, first name, home address and capacity of the legal representative.
  • Effective date of the contract.
  • In the event of a transfer to our address of the registered office of an existing company, current Kbis extract less than three months old.
  • Photocopy of a valid identity document of the legal representative.

Thereafter, we ask for the following items:

  • Photocopy of a second valid identity document of the legal representative; this request is increased to two identity documents in the absence of direct contact between the domiciliary company and the domiciled company.
  • Photocopy of a proof of residence of the legal representative, less than three months old.
  • For each partner holding at least 25% of the share capital of the domiciled company: for natural persons, photocopies of a valid identity document and proof of domicile dated less than three months ago; for legal entities, photocopy of the Kbis extract dated less than three months ago or of the registration certificate for foreign companies.
  • Up-to-date declaration of beneficial owner, filed with the Clerk’s Office of the Commercial Court of Paris.
  • Photocopy of the articles of incorporation or updated articles of association of the domiciled company, dated and signed.
  • Extract Kbis mentioning our address as the registered office of the domiciled company.
  • Tax certificate attached to the domiciliation contract, completed, dated and signed by the legal representative.
  • Information sheet attached to the domiciliation contract, completed, dated and signed.
